1. ACCEPTANCE OF TERMS

By accessing or using the Rogue Wave Productions website at roguewavehq.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors, users, and others who access or use the Site.

2. MUSIC CATALOG LICENSING

All music tracks available on the Site are protected by copyright. You may not use, copy, reproduce, distribute, or create derivative works from any track without first obtaining the appropriate license.

License Tiers: Rogue Wave Productions offers several license tiers including Personal, Single-Use, Commercial, Bulk 10-Pack, and Enterprise. The specific rights granted under each tier are described on the Licensing page and in your license certificate.

License Validity: Personal and Commercial licenses are valid for one (1) year from the date of purchase unless otherwise specified. Single-Use and Enterprise licenses are perpetual unless otherwise stated.

Prohibited Uses: You may not sublicense, sell, or redistribute the music itself as a standalone product. You may not use licensed music in a way that violates applicable law or infringes on the rights of third parties.

Account Requirement: All license purchases require a Rogue Wave Productions account. Guest checkout is not available. You must be logged in to purchase and access licensed tracks.

3. USER ACCOUNTS

To purchase licenses or access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. Rogue Wave Productions reserves the right to suspend or terminate accounts that violate these Terms.

4. PRODUCER SUBMISSIONS

Producers and artists may submit music for inclusion in the Rogue Wave catalog. By submitting music, you represent and warrant that:

• You own or control all rights to the submitted music.
• The submission does not infringe on any third-party intellectual property rights.
• You grant Rogue Wave Productions a non-exclusive license to distribute, market, and license the submitted music through the Site.

Revenue splits are determined by your producer tier and are outlined in the Payouts section of the Site. Rogue Wave Productions reserves the right to reject any submission at its discretion.

5. SONICVERSE AI STUDIO

SonicVerse is an AI-powered music production platform offered through Rogue Wave Productions. SonicVerse subscriptions are billed on a monthly or annual basis. By subscribing, you agree to the applicable subscription terms presented at checkout.

Pay-As-You-Go (PAYG) credits are non-refundable once purchased. Unused credits do not expire but are tied to your account and are non-transferable.

AI-generated content created using SonicVerse is subject to the terms of the underlying AI model providers. You are responsible for ensuring your use of AI-generated content complies with applicable laws and platform policies.

6. PAYMENTS AND REFUNDS

All payments are processed securely through Stripe. By completing a purchase, you authorize Rogue Wave Productions to charge your payment method for the applicable amount.

License Purchases: All license sales are final. Refunds are not available after a license certificate has been issued and the track has been made accessible.

Subscriptions: SonicVerse subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused subscription time.

7. INTELLECTUAL PROPERTY

All content on the Site, including but not limited to text, graphics, logos, button icons, images, audio clips, and software, is the property of Rogue Wave Productions or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without express written permission from Rogue Wave Productions.

8. DISCLAIMER OF WARRANTIES

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Rogue Wave Productions does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Rogue Wave Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or any content obtained through the Site.

10. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
